Terms of Service

These Terms of Service (the "Terms") govern access to and use of Kedo's websites, customer console, knowledge management features, AI agents, applications, customer-support tools, and related services (collectively, the "Service").

Kedo is operated by tiedongqu xingfuzhijia dianshang keji gongzuoshi, an individually owned business registered in Tiedong District, Anshan, Liaoning Province, People's Republic of China (the "Operator," "Kedo," "we," "us," or "our").

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. Eligibility and Accounts

You must have the legal capacity to enter into these Terms. You must provide accurate account information, protect your credentials, use reasonable security controls, and promptly notify us of suspected unauthorized access.

Workspace owners and administrators control membership, roles, integrations, content, and subscription decisions for their workspace. You are responsible for activity performed through your account and for ensuring that users you invite comply with these Terms.

2. The Service

Kedo helps customers connect knowledge sources, configure AI agents, generate source-backed responses, publish customer-support experiences, and review conversations and usage. Features, limits, supported models, and integrations vary by plan and may change over time.

We may provide previews, beta features, or trial functionality. Such features may be modified or discontinued and may be subject to additional notices displayed in the Service.

3. Customer Content

"Customer Content" means documents, webpages, prompts, instructions, conversations, files, credentials, configuration, and other information submitted to or generated through your workspace.

As between you and Kedo, you retain your rights in Customer Content. You grant Kedo a limited, non-exclusive right to host, copy, process, transmit, index, retrieve, display, and otherwise use Customer Content only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and enforce these Terms.

You represent that you have all rights, permissions, notices, and lawful bases required to submit and process Customer Content. You must not submit information that you are prohibited from disclosing or that Kedo is not authorized to process.

You are responsible for maintaining source copies and backups of important Customer Content. Kedo is not a records-archiving or legal-retention service unless expressly agreed in writing.

4. AI-Generated Content

AI responses are generated probabilistically and may be incomplete, inaccurate, outdated, or unsuitable for a particular purpose. Citations and retrieved sources can assist review but do not guarantee accuracy. You are responsible for reviewing outputs before relying on or publishing them, especially for legal, medical, financial, safety-critical, employment, or other high-impact decisions.

Similar prompts may produce similar outputs for different users. To the extent permitted by law, Kedo does not claim ownership of your output, but we do not guarantee that output is unique or eligible for intellectual-property protection.

5. Third-Party Providers and Integrations

The Service may use or connect to AI model providers, Paddle, email services, storage providers, analytics services, and other third parties. Their services are governed by their own terms and policies. You are responsible for provider accounts, credentials, settings, costs, and restrictions where you connect your own provider.

For transactions completed through Paddle Checkout, Paddle acts as the Merchant of Record and authorised reseller. Paddle sells the subscription transaction to you, while Kedo supplies and operates the Service under these Terms. The Paddle entity that contracts with you may depend on your location. Paddle's Buyer Terms govern the transaction, and Paddle's Privacy Notice governs Paddle's processing of personal data.

Kedo is not responsible for a third party's availability, output, policy changes, or acts outside our reasonable control. We may suspend an integration if necessary to protect security, comply with law, or respond to a provider restriction.

6. Acceptable Use

You must not use the Service to:

  • violate law, regulation, contractual obligations, privacy rights, or intellectual-property rights;
  • create, upload, or distribute malware, fraudulent content, unlawful harassment, or material that facilitates serious harm;
  • gain unauthorized access to an account, workspace, system, network, or data;
  • bypass security, access controls, usage limits, or subscription restrictions;
  • probe, scan, disrupt, overload, reverse engineer, or interfere with the Service except where applicable law expressly permits it;
  • collect or process personal data without required authority, notice, consent, or other lawful basis;
  • misrepresent AI output as verified human advice where doing so could cause harm; or
  • use an integration or AI provider in violation of that provider's applicable terms.

We may investigate suspected abuse and restrict or suspend access where reasonably necessary to protect the Service, users, or third parties.

7. Free Plans and Trials

Kedo may offer a free plan or a time-limited free trial. The applicable duration, features, limits, and any conversion to a paid subscription will be shown when the offer is presented. Unless the offer expressly states otherwise, unused trial benefits have no cash value.

If a trial is configured to convert automatically to a paid subscription, the price, billing cycle, renewal terms, and date of the first charge will be displayed before authorization. You may cancel before the trial ends to avoid the first recurring charge. Kedo may modify or withdraw a trial offer where permitted by law and may limit repeated trials.

8. Paid Subscriptions and Paddle Billing

Paid subscriptions are billed monthly or yearly as displayed before purchase. When you approve a recurring purchase through Paddle Checkout, you authorize Paddle to charge the payment method you provide for the displayed subscription charges on each renewal date until the subscription is cancelled.

Plan cards on Kedo may show a base price. Paddle Checkout displays the final transaction currency, applicable taxes, total amount, billing period, renewal terms, and available payment methods based on the transaction and your location. Review the Paddle Checkout summary before completing the purchase. Paddle calculates, collects, and remits applicable transaction taxes and provides the transaction confirmation, receipt, or invoice. Kedo does not receive or store your complete payment-card details.

Paddle may retry a failed recurring payment and may cancel or restrict the billing transaction if payment cannot be collected, as described in the Paddle Buyer Terms. Kedo uses verified Paddle events to update subscription status and Service access.

We may change future subscription prices by providing the notice and obtaining any consent required by applicable law. A price change will not retroactively alter a completed billing period.

9. Cancellation, Refunds, and Account Deletion

You may cancel automatic renewal through the Paddle customer portal linked from the Kedo Console or a Paddle subscription email, or through another cancellation route made available by Paddle. Unless applicable law requires otherwise, cancellation takes effect at the end of the current paid billing period; Paddle will not charge another renewal after cancellation takes effect, and paid access continues until that period ends.

Cancelling a subscription, requesting a refund, and deleting a Kedo account are separate actions. A refund may cause access to the relevant paid Service to end. Details are in our Refund and Cancellation Policy and Paddle's Refund Policy. Mandatory consumer rights are not limited.

Refund requests must be submitted within 14 calendar days of the original purchase or subscription renewal date. The same request window applies to every paid Kedo subscription plan, and Paddle handles requests under its Refund Policy, Buyer Terms, and applicable law.

10. Service Changes and Availability

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, security events, provider outages, internet conditions, force majeure, or other events may affect availability.

We may add, modify, or discontinue features. If a material change substantially reduces a paid core feature during a current billing period, we will provide a reasonable remedy where required by law or expressly stated in our Refund and Cancellation Policy.

11. Intellectual Property and Feedback

The Service, including its software, interface, branding, documentation, and underlying technology, is owned by Kedo or its licensors and is protected by applicable law. Except for the limited right to use the Service under these Terms, no intellectual-property rights are transferred to you.

If you provide feedback, you permit Kedo to use it without restriction or payment, provided we do not identify you publicly as the source without permission.

12. Privacy

Our Privacy Policy explains how we handle personal data. Our Cookie Policy explains our use of cookies and similar technologies. You are responsible for providing any notices and obtaining any permissions required for individuals whose information you submit to the Service.

13. Suspension and Termination

You may stop using the Service at any time. Cancelling a paid subscription and deleting an account are separate actions unless the Service states otherwise.

We may suspend or terminate access if you materially breach these Terms, fail to pay undisputed fees, create a security or legal risk, or use the Service in a way that could harm Kedo, users, or third parties. Where reasonable, we will provide notice and an opportunity to remedy the issue. Immediate action may be taken for urgent security, fraud, legal, or abuse concerns.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including payment obligations, ownership, disclaimers, liability limits, dispute terms, and lawful data-retention obligations.

14. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available." Kedo disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant that AI output will be accurate, unique, complete, or suitable for your use.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

15. Limitation of Liability

To the fullest extent permitted by law, Kedo will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, business opportunity, or data, arising from or related to the Service.

To the fullest extent permitted by law, Kedo's total aggregate liability arising from or related to the Service will not exceed the greater of (a) the amounts you paid for Kedo subscriptions during the 12 months before the event giving rise to the claim, whether paid through Paddle or directly to Kedo, or (b) USD 100.

These limitations do not apply to liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, or personal injury caused by negligence where such exclusion is prohibited. Mandatory consumer rights remain unaffected.

16. Indemnification

If you use the Service for business purposes, you agree to defend and indemnify Kedo against third-party claims arising from your unlawful Customer Content, your material breach of these Terms, or your violation of another person's rights, except to the extent the claim was caused by Kedo. This section applies only to the extent permitted by law.

17. Governing Law and Disputes

These Terms govern the Kedo Service and are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. The parties will first attempt to resolve a dispute through good-faith consultation. If the dispute is not resolved, either party may bring proceedings before a court of competent jurisdiction at the Operator's registered location in Tiedong District, Anshan, Liaoning Province, People's Republic of China.

Paddle's Buyer Terms separately govern Paddle transactions and contain their own governing-law, complaint, and dispute provisions. This section does not deprive a consumer of mandatory protections or access to a forum that cannot lawfully be waived under the law of the consumer's place of residence.

18. Changes to These Terms

We may update these Terms to reflect changes in the Service, law, security requirements, payment providers, or business practices. We will post the revised Terms and update the date above. Where required, we will provide additional notice before a material change takes effect. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.

19. General

These Terms and incorporated policies form the entire agreement concerning the Service unless a separate written agreement applies. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Kedo may assign them in connection with a business transfer or by operation of law.
